Terms of Service
The definitions and rules of interpretation in this clause apply in this agreeement
"Agreement" means these Terms of Service.
"Apps" means any software applications developed by ERP Champions Limited and made available through the Frappe Marketplace, including but not limited to the Uganda Compliance App.
"Client" or "User" means any person or entity accessing or using our Apps.
"ERP Champions" means ERP Champions Limited.
"Services" means implementation, customization, and support services provided by ERP Champions related to our Apps.
Open Source License
ERP Champions' Apps are provided under open source license terms, granting Users the freedoms to use, study, modify, and distribute the software according to the specific open source license applied to each App.
The specific open source license for each App will be clearly indicated in the App's repository and documentation.
Users are encouraged to contribute to the development and improvement of our Apps in accordance with open source principles and the respective license terms.
Marketplace Terms
ERP Champions distributes Apps through the Frappe Marketplace and other channels in accordance with their respective platform policies.
By downloading or using our Apps from the Frappe Marketplace, Users agree to be bound by both these Terms and the Frappe Marketplace terms.
ERP Champions offers optional implementation and support services related to our Apps. These services are separate from the App licenses and are subject to separate service agreements.
For clients purchasing implementation and support services, ERP Champions shall:
Provide services in accordance with agreed specifications
Make available suitably qualified personnel to carry out implementation tasks
Provide maintenance and support as agreed upon in the service agreement
Our Apps are provided as open source software and may be used freely according to their license terms.
Optional implementation, customization, and support services are provided for a fee as specified in separate agreements between ERP Champions and the Client.
ERP Champions Limited may update this privacy policy periodically. When we do, we will notify users through appropriate channels. Your continued use of our services after changes to this policy constitutes acceptance of those changes.
Contributions to our Apps may be subject to contributor agreements as specified in the project documentation.
Our open source Apps are provided "as is" without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.
For paid support services, ERP Champions offers limited warranties as specified in the respective service agreements.
While Apps like the Uganda Compliance App are designed to assist with regulatory compliance, ERP Champions does not guarantee that use of the Apps will ensure full compliance with all applicable laws and regulations. Users remain responsible for their regulatory obligations.
In no event shall ERP Champions be liable for any special, direct, indirect, incidental, or consequential damages whatsoever arising out of or in connection with the use or performance of our open source Apps.
For paid services, liability limitations will be as specified in the respective service agreements.
ERP Champions provides community support for our open source Apps through public channels such as GitHub issues.
Premium support, implementation, and customization services are available under separate commercial agreements.
ERP Champions may periodically release updates to our Apps to add features, fix bugs, or address security concerns.
Users are encouraged to upgrade to the latest versions to benefit from improvements and security enhancements.
This Agreement shall be governed by and construed in accordance with the laws of Uganda, without giving effect to conflict of law principles.
Any legal action arising out of this Agreement shall be brought in the courts of Uganda.
ERP Champions may update these Terms from time to time. Material changes will be announced through appropriate channels.
This Agreement constitutes the entire understanding between the Parties with respect to our Apps and supersedes all prior communications.
